Welcome to VACenter™. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VACenter™ ("VACenter," "we," "us," or "our") governing your access to and use of the VACenter™ website located at va-center.com (the "Site") and all associated services, features, tools, and products offered by VACenter™, including but not limited to virtual airline crew centers and Discord bot integrations for Infinite Flight Simulator (collectively, the "Services"). Please read these Terms carefully and in their entirety before accessing or using the Site or Services. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference. If you do not agree with any provision of these Terms, you must immediately cease all use of the Site and Services.
By accessing or using the Site and Services, you represent and warrant that: (a) you are at least thirteen (13) years of age, or such higher age as may be required by the laws of your jurisdiction to form a legally binding contract; (b) you have the full legal capacity and authority to enter into these Terms; and (c) your use of the Services does not violate any applicable law or regulation. If you are accessing or using the Site on behalf of a company, organisation, virtual airline, or other legal entity, you further represent and warrant that you have the authority to bind such entity to these Terms, and all references to "you" in these Terms shall apply equally to such entity. Unauthorised use of the Services by minors is strictly prohibited, and VACenter™ accepts no liability arising from any misrepresentation of age or authority.
VACenter™ reserves the right, at its sole and absolute discretion, to modify, update, amend, or replace any part of these Terms at any time and without prior notice. All amendments shall become effective immediately upon being posted to the Site, and the "Last Amended" date at the top of this document shall be updated accordingly. It is your sole responsibility to review these Terms periodically to remain informed of any changes. Your continued access to or use of the Site or Services following the posting of any amendments constitutes your unconditional acceptance of the revised Terms. If you do not agree to any amended Terms, you must discontinue your use of the Site and Services immediately.
To access certain features and functionality of the Services, you may be required to register and maintain an account ("Account"). You agree to provide accurate, current, truthful, and complete information at the time of registration and to update such information promptly to maintain its accuracy. You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your password, and for all activities and actions that occur under your Account, whether or not authorised by you. You agree to notify VACenter™ immediately upon becoming aware of any unauthorised access to or use of your Account. VACenter™ shall not be liable for any loss or damage arising from your failure to comply with these security obligations. VACenter™ reserves the right to refuse registration, suspend, or terminate any Account at its sole discretion.
VACenter™ Products and Services are provided exclusively for their intended operational use as defined by VACenter™. By accessing or using VACenter™ Products, you are granted a limited, non-exclusive, non-transferable, and revocable right to use the platform solely for its intended functionality as a crew centre management and Discord integration tool for Infinite Flight Simulator virtual airlines.
You agree to use the Services strictly in accordance with these Terms and all applicable local, national, and international laws and regulations. You shall not, under any circumstances:
The platform, its features, structure, workflows, interface design, underlying logic, and operational concepts constitute proprietary intellectual property owned exclusively by VACenter™. You may not use VACenter™ Products or Services, directly or indirectly, to analyse, observe, extract, replicate, or derive ideas, concepts, features, designs, or operational models for the purpose of developing, improving, supporting, or otherwise contributing to any other product, service, or platform. Any use of VACenter™ for the purposes of competitive research, concept benchmarking, idea generation, or the creation of similar or derivative systems is strictly and expressly prohibited. VACenter™ reserves the right to suspend or permanently terminate access and to pursue all available legal remedies, including injunctive relief and claims for damages, in the event of any misuse or violation of this provision.
All content, materials, features, software, code, trademarks, service marks, trade names, logos, visual design elements, and other intellectual property made available through the Site or Services are owned by or licensed to VACenter™ and are protected under applicable intellectual property laws. You are granted no rights in or to any such intellectual property except the limited right to use the Services as expressly set forth in these Terms. You may not use, reproduce, modify, adapt, translate, distribute, publicly display, reverse engineer, decompile, or otherwise exploit any of VACenter™'s intellectual property in any manner without the express prior written consent of VACenter™.
VACenter™ may offer paid subscription tiers providing access to enhanced features and functionality ("Subscription"). All Subscriptions are subject to the pricing, billing terms, and conditions presented at the time of purchase and as may be updated from time to time in accordance with Section 2 of these Terms.
VACenter™ maintains a strict policy against the manipulation of subscription cycles for the purpose of obtaining pricing benefits, promotional offers, or incentives designated exclusively for new subscribers. Users who currently hold, or who have held within the past twelve (12) months, an active paid Subscription are considered existing subscribers for all eligibility purposes and shall not qualify for any New Subscriber Promotion, regardless of whether a cancellation of a prior subscription has been completed prior to re-subscription.
Any deliberate sequence of actions — including, without limitation, the cancellation of an active Subscription followed by a re-subscription — undertaken with the intent or effect of circumventing eligibility requirements for New Subscriber Promotions constitutes a violation of these Terms. This prohibition extends to the creation of duplicate or alternate accounts under different identities, email addresses, or payment instruments for the same purpose. VACenter™ reserves the right to detect such conduct through automated and manual review processes.
Users found in violation of this Section shall be subject to immediate revocation of any promotional benefit obtained, retroactive billing at the applicable standard rate for the period during which a promotional rate was applied, and, in cases of repeated or wilful infringement, suspension or permanent termination of their Account without prior notice.
VACenter™ reserves the right, at its sole and absolute discretion and without prior notice or liability, to suspend, restrict, or permanently terminate your access to the Site and Services for any reason, including but not limited to a breach of any provision of these Terms, conduct that VACenter™ determines to be harmful to other users, third parties, or the integrity of the Services, or any activity that may expose VACenter™ to legal or reputational risk. Upon termination, all rights and licences granted to you under these Terms shall immediately cease, and you must discontinue all use of the Services. Provisions of these Terms which by their nature should survive termination shall do so, including without limitation Sections 5, 6, 8, and 10.
Your use of the Site and Services is also governed by VACenter™'s Privacy Policy, available at https://va-center.com/policies, which is incorporated into these Terms by reference. By using the Services, you acknowledge and consent to the collection, use, storage, and processing of your personal information as described in the Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy with respect to the handling of personal data, the Privacy Policy shall prevail.
The Site may contain hyperlinks to third-party websites, platforms, or services that are not owned, operated, or controlled by VACenter™. The inclusion of any such link does not imply endorsement, approval, or affiliation by VACenter™. VACenter™ makes no representations or warranties regarding the content, accuracy, availability, or practices of any third-party website or service and expressly disclaims all liability arising from your access to or use thereof. You access any third-party website or service entirely at your own risk and subject to the terms and conditions of the applicable third party.
To the fullest extent permitted by applicable law, VACenter™, its directors, officers, employees, agents, affiliates, licensors, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to loss of data, loss of revenue, loss of profits, loss of goodwill, or business interruption, arising out of or in connection with your access to or use of, or inability to access or use, the Site or Services, even if VACenter™ has been advised of the possibility of such damages. In jurisdictions that do not permit the exclusion or limitation of certain damages, VACenter™'s liability shall be limited to the maximum extent permitted by law.
These Terms shall be governed by and construed exclusively in accordance with the laws of the Switzerland, without regard to its conflict of law principles or provisions. Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the competent courts of Bern, Switzerland. You irrevocably submit to the personal jurisdiction of such courts for these purposes and waive any objection to proceedings in such courts on the grounds of venue or inconvenient forum.
